Terms of Service

1. Introduction

These Terms of Service ("Terms") govern your access to and use of the Panovix platform, including the website at panovix.com, the web application, APIs, and all related services (collectively, the "Service") provided by Panovix ("we," "us," or "our").

By creating an account or using the Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, you may not use the Service.

2. Definitions

• "Account" means the unique account you create to access the Service
• "Content" means any data, text, images, screenshots, notes, or other materials you upload, submit, or create through the Service
• "Broker" means any third-party brokerage or trading platform you connect to the Service (e.g., NinjaTrader/Tradovate, ProjectX, Rithmic)
• "Trade Copier" means the feature that replicates orders from a master account to one or more target accounts
• "Subscription" means a paid plan that grants access to premium features of the Service

3. Eligibility

You must be at least 18 years of age to use the Service. By creating an account, you represent and warrant that:

• You are at least 18 years old
• You have the legal capacity to enter into these Terms
• The information you provide during registration is accurate, complete, and current
• Your use of the Service does not violate any applicable law or regulation

4. Account Registration and Security

When you create an account, you must provide accurate and complete information and keep it updated. You are responsible for:

• Safeguarding your account credentials (email, password, API keys)
• All activities that occur under your account
• Notifying us immediately of any unauthorized access or security breach

You agree not to share your account credentials with any third party. We reserve the right to suspend or terminate accounts that we reasonably believe have been compromised or are being used in violation of these Terms.

5. Subscriptions and Payments

5.1 Billing

Subscriptions are billed on a recurring basis (monthly or annually, depending on the plan selected). All payments are processed by Stripe. By subscribing, you authorize us to charge your payment method on file at the beginning of each billing cycle.

5.2 Auto-Renewal

Subscriptions automatically renew at the end of each billing period unless you cancel before the renewal date. If you signed up with a free trial, your subscription will convert to a paid plan at the end of the trial period unless cancelled.

5.3 Cancellation

You may cancel your subscription at any time through your account settings or the Stripe billing portal. Cancellation takes effect at the end of the current billing period. You will retain access to paid features until the end of the period you have already paid for. No prorated refunds are issued for partial billing periods.

5.4 Refunds

All subscription payments are final and non-refundable for the current billing period. In exceptional circumstances, Panovix may issue a discretionary refund at its sole discretion.

5.5 Price Changes

We reserve the right to modify subscription pricing. We will provide at least 30 days' notice before any price increase takes effect. Continued use of the Service after a price change constitutes acceptance of the new pricing.

5.6 Free Trials

Only one free trial is permitted per user and payment method. Attempting to obtain multiple trials through different accounts, identities, or payment methods is strictly prohibited. We reserve the right to immediately terminate trials and suspend accounts engaged in this practice without prior notice.

6. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to:

• Use the Service for any illegal or unauthorized purpose
• Attempt to gain unauthorized access to any portion of the Service, other accounts, or related systems
• Interfere with or disrupt the integrity or performance of the Service
• Reverse engineer, decompile, or disassemble any aspect of the Service
• Use automated tools (bots, scrapers) to access the Service beyond normal API usage
• Resell, redistribute, or sublicense access to the Service without prior written consent
• Transmit malware, viruses, or any other malicious code
• Impersonate another person or entity

7. Trade Copier Disclaimer

The Trade Copier feature allows you to replicate orders from a designated master account to one or more target accounts. By using the Trade Copier, you acknowledge and agree that:

• You are solely responsible for all trades executed through the Trade Copier, including any resulting profits or losses
• Execution is not guaranteed. Orders may be delayed, partially filled, rejected, or experience slippage due to market conditions, broker limitations, or network latency
• Panovix is not a broker, investment advisor, or financial institution. We do not provide trading signals, investment advice, or recommendations
• Panovix is not liable for any losses, damages, or expenses arising from the use of the Trade Copier
• You are responsible for verifying that your use of the Trade Copier complies with the rules and policies of your prop firm, broker, or funding provider
• Maximum liability for Trade Copier-related claims is limited to the amount of one month's subscription fee

8. Broker Integrations

The Service integrates with third-party broker platforms (NinjaTrader/Tradovate, ProjectX, Rithmic, and others). By connecting a broker account:

• You authorize Panovix to access your broker account data (positions, orders, fills, balances) as necessary to provide the Service
• You represent that you have the authority to grant this access and that doing so does not violate any agreement with your broker
• We are not responsible for any actions taken by your broker, including account suspension, rule changes, or data availability
• Broker integrations may be interrupted, modified, or discontinued at any time due to changes by the broker or platform provider

9. Your Content

You retain ownership of all Content you create, upload, or submit through the Service (journal entries, notes, screenshots, trade annotations). By using the Service, you grant us a limited, non-exclusive license to store, process, and display your Content solely for the purpose of providing the Service to you.

You are responsible for the legality, reliability, and appropriateness of your Content. We do not claim ownership of your Content, and we will not use it for any purpose other than operating the Service.

10. Intellectual Property

The Service, including its design, code, features, graphics, and branding, is owned by Panovix and protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works based on the Service without prior written consent.

All trademarks, logos, and service marks displayed on the Service are the property of Panovix or their respective owners (e.g., NinjaTrader, Tradovate, TradingView). Use of third-party marks does not imply endorsement or affiliation.

11. Feedback

If you provide suggestions, ideas, or feedback regarding the Service ("Feedback"), you grant us an unrestricted, irrevocable, non-exclusive, royalty-free right to use, implement, modify, and incorporate such Feedback into the Service without obligation or compensation to you.

12. Termination

We may suspend or terminate your access to the Service immediately, without prior notice, if:

• You breach any provision of these Terms
• Your conduct poses a risk to the security or integrity of the Service
• Required by law or regulatory authority
• Your subscription payment fails and is not remedied within a reasonable period

You may terminate your account at any time by contacting us at support@panovix.com. Upon termination, your right to use the Service ceases immediately, though we may retain certain data as required by law (see our Privacy Policy).

13. Limitation of Liability

To the maximum extent permitted by applicable law, Panovix and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:

• Loss of profits, revenue, or trading capital
• Loss of data or business interruption
• Damages arising from unauthorized access to your account
• Damages arising from the use or inability to use the Service
• Damages arising from trades executed or not executed through the Trade Copier

In no event shall our total liability exceed the greater of (a) the amount you paid us in the 12 months preceding the claim, or (b) one hundred dollars ($100).

14. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, error-free, secure, or free of viruses or other harmful components. We do not warrant the accuracy, completeness, or reliability of any data, analytics, or calculations provided through the Service.

15. Indemnification

You agree to indemnify, defend, and hold harmless Panovix and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to:

• Your use of the Service
• Your violation of these Terms
• Your violation of any third-party rights
• Any Content you submit through the Service
• Trades executed through the Trade Copier or any broker integration

16. Third-Party Links and Services

The Service may contain links to third-party websites or services that are not owned or controlled by Panovix. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party websites or services. You acknowledge and agree that Panovix shall not be responsible or liable for any damage or loss caused by or in connection with the use of any such third-party content, goods, or services.

17. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

Any dispute arising out of or relating to these Terms or the Service shall first be attempted to be resolved through good-faith negotiation. If a dispute cannot be resolved through negotiation within 30 days, it shall be submitted to binding arbitration in accordance with the rules of the American Arbitration Association.

18. Changes to These Terms

We reserve the right to modify these Terms at any time. When we make material changes, we will provide at least 30 days' notice by posting the updated Terms on this page, updating the "Last updated" date, and—where appropriate—notifying you by email.

Your continued use of the Service after any changes constitutes acceptance of the revised Terms. If you do not agree to the updated Terms, you must stop using the Service and cancel your subscription.

19. Risk Disclosures

Futures Risk Disclosure: Futures and forex trading contains substantial risk and is not for every investor. An investor could potentially lose all or more than the initial investment. Risk capital is money that can be lost without jeopardizing one's financial security or lifestyle. Only risk capital should be used for trading and only those with sufficient risk capital should consider trading. Past performance is not necessarily indicative of future results.

Hypothetical Performance Disclosure: Hypothetical performance results have many inherent limitations. No representation is being made that any account will or is likely to achieve profits or losses similar to those shown. There are frequently sharp differences between hypothetical performance results and the actual results subsequently achieved by any particular trading program.
